OnaNet Terms of Service
The rules for using the OnaNet marketplace app

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the OnaNet mobile application and related services (the "Service"). OnaNet is currently operated in Kenya under the OnaNet name ("OnaNet", "we", "us"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If OnaNet is later incorporated as a registered business, references to "OnaNet", "we", and "us" in these Terms will refer to that entity from the date of incorporation, and these Terms will be updated accordingly.
2. Description of the Service
OnaNet is a marketplace application that connects internet service providers ("Providers") with individuals and businesses seeking internet connectivity ("Users") in Kenya. OnaNet allows Users to search for Providers and packages available in their area, submit installation requests, and communicate with Providers. OnaNet also allows Providers to list their services, coverage areas, and packages, and to manage leads and installation requests.
OnaNet is a marketplace and discovery platform only. OnaNet is not an internet service provider, does not install or operate network infrastructure, and is not a party to any service agreement between a User and a Provider.
3. Eligibility and Accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
You must provide accurate, current information when registering and keep it up to date.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You must notify us promptly of any unauthorized use of your account.
OnaNet supports two account types: User accounts and Provider accounts, each subject to the additional terms below.
4. Provider Accounts and Verification
Provider accounts are subject to a verification process before listings become visible to Users. As part of this process, Providers must submit accurate documentation, which may include national identification, KRA PIN, business registration documents and applicable county permits.
You represent that all documents and information submitted for verification are accurate, current, and that you are legally authorized to offer the internet services listed.
OnaNet reviews verification submissions manually and may approve, reject, or request additional information at its discretion. Verification does not constitute a guarantee or endorsement by OnaNet of a Provider's service quality, pricing, or business practices.
Providers are solely responsible for the accuracy of their listings, including packages, pricing, coverage areas, speeds, and fair-usage policies, and for honoring the terms they publish.
OnaNet may suspend or revoke a Provider's verified status or listing at any time if it discovers false information, licence issues, unresolved complaints, or violations of these Terms.
5. Installation Requests and the Role of OnaNet
Users may submit installation requests to Providers through the app. OnaNet facilitates this connection but is not responsible for the installation itself, the quality or reliability of the internet service delivered, service outages, pricing disputes, or the fulfillment of any agreement between a User and a Provider. Any contract for internet service is formed directly between the User and the Provider, and is governed by the Provider's own terms.
OnaNet does not guarantee that any Provider will respond to, accept, or fulfill a request, or that coverage information, speeds, or pricing displayed in the app are accurate or current at the time of installation.
6. Subscriptions and Payments
OnaNet offers free and paid subscription tiers (e.g. Free, Growth, Pro) for Providers, offering different levels of visibility, analytics, and features.
Paid subscriptions purchased in the Android app are billed and processed through Google Play Billing. By subscribing, you also agree to Google Play's applicable payment and subscription terms.
Subscription renewal, cancellation and payment methods are managed through the subscriber's Google Play account. OnaNet records the plan, purchase token and subscription status but does not directly receive or store complete payment-card numbers, PINs or CVVs.
Except as required by law or expressly stated at the time of purchase, subscription fees are non-refundable.
OnaNet may change subscription pricing or plan features with reasonable advance notice; continued use after a change takes effect constitutes acceptance.
7. User Conduct
You agree not to:
Provide false, misleading, or fraudulent information in your account, listings, verification documents, reviews, or installation requests.
Impersonate any person or entity, or misrepresent your affiliation with a Provider or business.
Post reviews, ratings, or reports that are defamatory, abusive, or that you know to be false.
Use the Service to harass, threaten, or defraud other Users or Providers.
Interfere with, disrupt, reverse-engineer, or attempt to gain unauthorized access to the Service or its infrastructure.
Use automated means (bots, scrapers) to access or extract data from the Service without our written permission.
Circumvent OnaNet's marketplace to avoid applicable fees, where such fees apply.
8. Reviews, Ratings, and Reports
Users may submit ratings, reviews, and reports about Providers, and Providers may respond to reviews. Reviews must reflect genuine experiences. OnaNet may remove or moderate content that violates these Terms, applicable law, or that we determine in good faith to be false, abusive, or manipulative, but is not obligated to actively monitor all content.
9. Intellectual Property
The OnaNet app, its design, branding, software, and underlying technology are owned by OnaNet or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the app for its intended purpose. You retain ownership of content you submit (e.g. reviews, photos, listing information) but grant OnaNet a worldwide, royalty-free license to host, display, and distribute that content as necessary to operate the Service.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ONANET DOES NOT WARRANT THAT LISTINGS, COVERAGE INFORMATION, PRICING, OR SPEEDS DISPLAYED BY PROVIDERS ARE ACCURATE, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. ONANET IS NOT RESPONSIBLE FOR THE ACTS, OMISSIONS, OR SERVICE QUALITY OF ANY PROVIDER.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONANET AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR ANY TRANSACTION OR RELATIONSHIP WITH A PROVIDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ONANET'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ONANET IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) KES 5,000.
12. Indemnification
You agree to indemnify and hold OnaNet harmless from any claims, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any rights of a third party, including any dispute between a User and a Provider.
13. Suspension and Termination
You may stop using the Service and delete your account at any time through Account Settings or by contacting us.
OnaNet may suspend or terminate your account, with or without notice, if you violate these Terms, provide false verification information, engage in fraudulent activity, or if required to comply with legal obligations.
Upon termination, your right to use the Service ceases immediately. Certain data may be retained after termination as described in our Privacy Policy and as required by law.
14. Changes to the Service and These Terms
We may modify or discontinue features of the Service at any time. We may update these Terms from time to time; material changes will be notified through the app or other reasonable means before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service shall first be addressed through good-faith negotiation between the parties, and if unresolved, shall be subject to the exclusive jurisdiction of the courts of Kenya, or resolved through arbitration seated in Nairobi, in accordance with the Arbitration Act (Kenya), at OnaNet's election.
16. General
Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and OnaNet regarding the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
No Waiver: OnaNet's failure to enforce any provision is not a waiver of that provision.
Assignment: You may not assign these Terms without OnaNet's written consent; OnaNet may assign these Terms in connection with a merger, acquisition, or sale of assets.
